Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the website and services offered by Rishabh Bags ("we", "us", or "our").

Your access to and use of our services is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use our services.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access our services.

1. Services

Rishabh Bags provides custom bag manufacturing services, including but not limited to design, production, and delivery of custom bags according to client specifications. Our services are subject to a separate quotation and agreement process.

2. Orders and Production

2.1 Quotations

All quotations provided by Rishabh Bags are valid for 30 days from the date of issue unless otherwise specified. Quotations are based on the information provided by the client and may be subject to change if specifications are modified.

2.2 Order Confirmation

Production will commence only after:

• Written approval of the final design and specifications
• Approval of pre-production samples (when applicable)
• Receipt of the required deposit payment

2.3 Changes to Orders

Any changes requested after order confirmation may result in additional charges and/or extended production timelines. Rishabh Bags reserves the right to decline changes that cannot be reasonably accommodated within the production process.

2.4 Cancellation

Order cancellations must be submitted in writing. Cancellation fees may apply based on the production stage:

• Before production begins: 25% of order value
• After materials have been procured: 50% of order value
• After production has begun: 75-100% of order value, depending on completion stage

3. Intellectual Property

3.1 Client Materials

Clients retain all intellectual property rights to their designs, logos, and other materials provided to Rishabh Bags. By submitting these materials, clients grant us a limited license to use them solely for the purpose of fulfilling the order.

3.2 Ownership Warranty

Clients warrant that they own or have properly licensed all intellectual property rights to materials provided for production. Clients agree to indemnify and hold Rishabh Bags harmless from any claims arising from intellectual property infringement related to client-provided materials.

3.3 Rishabh Bags' Intellectual Property

All intellectual property developed by Rishabh Bags, including but not limited to manufacturing techniques, proprietary designs, and website content, remains the exclusive property of Rishabh Bags unless explicitly transferred through written agreement.

4. Payment Terms

4.1 Deposit

A 50% deposit is required to initiate production unless alternative terms have been agreed upon in writing. The deposit is non-refundable once materials have been procured or production has begun.

4.2 Final Payment

The remaining balance must be paid in full before shipment of the completed order. Rishabh Bags reserves the right to withhold delivery until full payment is received.

4.3 Late Payments

Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. Clients are responsible for any collection costs incurred in recovering overdue payments.

5. Shipping and Delivery

5.1 Delivery Timeframes

Delivery timeframes provided are estimates and not guarantees. Rishabh Bags will make reasonable efforts to meet agreed-upon deadlines but is not liable for delays due to factors beyond our control, including but not limited to supplier delays, shipping carrier issues, customs delays, or force majeure events.

5.2 Shipping Responsibility

Unless otherwise specified, products are shipped FOB (Free On Board) from our facility in Jodhpur, Rajasthan, India. Risk of loss transfers to the client once the shipment is handed over to the designated carrier.

5.3 Inspection

Clients are responsible for inspecting shipments upon receipt and reporting any damages or discrepancies within 7 days of delivery. Claims made after this period may not be honored.

6. Quality and Warranties

6.1 Quality Standards

Rishabh Bags warrants that all products will conform to the agreed-upon specifications and be free from defects in materials and workmanship under normal use.

6.2 Acceptable Variation

Minor variations in color, texture, and dimensions (within ±5%) are considered normal in the manufacturing process and do not constitute defects. Samples are representative of general quality but exact replication cannot be guaranteed due to the nature of manufacturing processes.

6.3 Warranty Claims

Warranty claims must be submitted in writing with supporting documentation within 30 days of delivery. Rishabh Bags reserves the right to inspect allegedly defective products before approving warranty claims.

6.4 Remedy

For valid warranty claims, Rishabh Bags will, at its discretion, either repair or replace the defective products, or provide a refund or credit for the affected items. This remedy constitutes the exclusive remedy for quality issues.

7. Limitation of Liability

In no event shall Rishabh Bags be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to the services, even if advised of the possibility of such damages.

Rishabh Bags' total liability for any claims arising under these Terms shall not exceed the amount paid by the client for the specific order giving rise to the claim.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of business. This includes but is not limited to designs, specifications, pricing, and manufacturing processes. This obligation survives the termination of the business relationship.

9.1 Content

The content on our website is for informational purposes only. While we strive for accuracy, we make no warranties regarding the completeness, reliability, or accuracy of this information.

9.2 User Conduct

When using our website, you agree not to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Attempt to gain unauthorized access to any portion of the website
• Use the website to transmit malware, viruses, or other malicious code
• Engage in any activity that disrupts or interferes with the proper functioning of the website

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Jodhpur, Rajasthan, India.

11. Changes to Terms

Rishabh Bags reserves the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date at the top of this page. Your continued use of our services after such modifications constitutes your acceptance of the revised Terms.
